1. Acceptance of These Terms
Please read these Terms of Service (the “Terms”) and our Privacy Policy carefully. They govern your (“you” or “Customer”) access to and use of the software platform and related services provided by AutonomyFinance.ai, Inc. (“Autonomy,” “we,” “us,” or “our”), including our website, mobile applications, AI-powered financial agent features, financial data aggregation features, data storage and system records associated with your account, and any related services that link to these Terms (collectively, the “Services”). These Terms are intended to align with our Privacy Policy.
By creating an account, accessing, or using the Services, you acknowledge that you have read and understood these Terms and the Privacy Policy and agree to be bound by them. If you do not agree, you may not use the Services.
If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and “Customer” and “you” refer to that entity.
2. Eligibility
The Services are available only to individuals who are eighteen (18) years of age or older. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
3. The Services
3.1 General Description
Autonomy provides technology tools designed to help users monitor, organize, and analyze financial information. The Services may include: connecting and displaying financial account information received from third-party data providers; storing user-provided content (including uploaded documents); AI-generated insights and summaries; alerts and notifications; conditional monitoring features; and collaboration features to share access with others.
3.2 No Professional Advice; No Fiduciary Relationship
Autonomy is a technology provider. Autonomy is not a bank, broker-dealer, registered investment adviser, fiduciary, accounting firm, tax advisor, or law firm. The Services are provided for informational and general assistance purposes only. Autonomy does not provide financial, investment, legal, tax, accounting, estate planning, or other regulated advice, and the Services do not create any professional-client relationship.
You are solely responsible for your financial decisions and for verifying any information or outputs from the Services. You should consult licensed financial advisors, accountants, attorneys, and other qualified professionals before making financial decisions.
3.3 Evolving Services; Beta Features
The Services are continually evolving. We may add, change, remove, suspend, or discontinue features or functionality (including any AI features) at any time, in our sole discretion. Any beta, pilot, pre-release, or experimental features are provided “as is” and may be modified or discontinued at any time.
4. Account Registration and Security
4.1 Account Creation
To use certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access, you must notify us promptly at info@autonomyfinance.ai. Autonomy is not liable for losses resulting from unauthorized access to your account except to the extent prohibited by applicable law.
5. Financial Data Aggregation; Third-Party Providers
5.1 Authorization
If you connect financial accounts through third-party data providers (such as Plaid or similar providers), you authorize Autonomy to access, receive, store, process, and display information from those providers as part of the Services.
5.2 Third-Party Data Limitations
Autonomy does not control third-party data providers or financial institutions and does not guarantee the availability, accuracy, completeness, or timeliness of information provided by them. Data may be delayed, incomplete, unavailable, duplicated, or inaccurate. You acknowledge that the Services depend on third-party systems and that outages or changes by third parties may affect the Services.
5.3 Third-Party Terms
Your use of third-party services (including data providers and financial institutions) may be subject to their own terms and policies. Autonomy is not responsible for third-party services.
6. Artificial Intelligence; System-Generated Outputs
6.1 AI Features
The Services may use artificial intelligence and machine learning systems to analyze financial information and generate insights, projections, summaries, alerts, rankings, and suggested actions, including through features such as “Autonomy Intelligence,” “Next Best Action,” “Vitals,” or similar functionality.
6.2 AI Limitations and Risk Disclosures
You acknowledge and agree that AI-generated outputs are probabilistic and may be inaccurate, incomplete, delayed, misleading, or otherwise incorrect. AI systems may misinterpret data, fail to detect relevant context, rely on incomplete or outdated information, generate incorrect correlations, or contain computational or modeling errors. Market conditions, economic factors, data latency, or third-party outages may invalidate projections or recommendations.
Autonomy does not validate AI outputs for professional accuracy and does not monitor outputs for suitability. AI outputs do not constitute a recommendation to engage in any specific transaction and do not create a fiduciary or advisory relationship.
6.3 No Duty to Monitor; No Inference from Silence
Autonomy does not undertake to monitor your financial condition on an ongoing basis. The absence of an alert, recommendation, or notification does not imply that no risk, opportunity, or material change exists.
7. Agent Tasks and Conditional Monitoring
The Services may allow you to configure conditional tasks, alerts, reminders, or monitoring instructions (for example, requests to notify you if certain thresholds, market conditions, transaction amounts, or account changes occur) (“Agent Tasks”).
Agent Tasks rely on third-party data feeds, system configurations, and algorithmic processing. You acknowledge and agree that Agent Tasks may fail to trigger, may trigger inaccurately, may be delayed, or may rely on incomplete or outdated data. Autonomy does not guarantee continuous, real-time, or uninterrupted monitoring of any financial condition, market rate, account activity, or transaction threshold.
The existence of an Agent Task does not create an obligation for Autonomy to monitor your financial circumstances on an ongoing basis. You remain solely responsible for independently monitoring your financial accounts, obligations, deadlines, and market conditions. Autonomy is not responsible for losses, missed opportunities, penalties, fees, or other consequences arising from delayed, missed, or inaccurate alerts or task execution.
8. Authorized Collaborators
8.1 Invitations and Permissions
The Services may allow you to invite and grant access to third parties, including but not limited to financial advisors, accountants, attorneys, spouses, household members, or other individuals (“Authorized Collaborators”). You are solely responsible for determining the scope of access granted and for configuring permissions.
8.2 Your Authority and Responsibility
You represent and warrant that you have the legal authority to share information you grant Authorized Collaborators access to. Authorized Collaborators may view, access, download, or interact with information consistent with permissions you assign. Autonomy does not supervise, monitor, verify, or control the actions of Authorized Collaborators and is not responsible for how they use, interpret, or retain information.
8.3 Revocation
You may revoke access through the platform settings; however, Autonomy is not responsible for information previously accessed, downloaded, or retained by an Authorized Collaborator.
9. Your Content; Data Rights; Feedback
9.1 Your Content
You retain ownership of content and information you submit to the Services, subject to the rights you grant Autonomy in these Terms and as described in the Privacy Policy.
9.2 License to Operate the Services
You grant Autonomy a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and otherwise use your content and information solely to provide, maintain, secure, support, and improve the Services; to comply with law; and to enforce these Terms. We may also create aggregated or de-identified data derived from your use of the Services, which we may use for analytics, research, product development, and security monitoring.
9.3 Feedback
If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback (“Feedback”), you grant Autonomy the right to use and commercialize such Feedback without restriction or compensation, and you agree that Feedback is not confidential.
10. Permitted Use and Prohibited Activities
10.1 Limited License
Subject to these Terms, Autonomy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes (unless otherwise agreed in writing by Autonomy).
10.2 Prohibited Activities
You agree not to, and not to permit others to:
(a) use the Services in violation of any law or regulation, or to violate the rights of any third party;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying methods from the Services;
(c) access or use the Services to build or benchmark a competing product or service;
(d) interfere with or disrupt the Services, including by introducing malware or attempting unauthorized access;
(e) scrape, harvest, or collect data from the Services except as expressly permitted;
(f) upload or transmit unlawful, infringing, harmful, or malicious content;
(g) impersonate any person or misrepresent your affiliation; or
(h) use the Services in a way that could subject Autonomy to liability or materially harm the Services or other users.
11. Fees; Pricing; Taxes
11.1 Fees During Initial Launch
During the initial launch period, the Services may be made available at no charge. Autonomy may introduce fees, paid plans, subscriptions, or other pricing at any time in its sole discretion. If we introduce paid features or paid plans, we will provide notice through the Services or other communications. Your continued use of the Services after pricing changes take effect constitutes your acceptance of the pricing changes.
11.2 Taxes
If fees are introduced, prices may be exclusive of applicable taxes unless stated otherwise. You will be responsible for any applicable taxes associated with your purchase except for taxes based on Autonomy’s net income.
12. Confidentiality
12.1 Confidential Information
“Confidential Information” means non-public information disclosed by Autonomy to you that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information, including non-public product plans, technical features, security practices, and pricing (if applicable). Confidential Information does not include information that: (a) is or becomes public through no fault of yours; (b) you lawfully receive from a third party without confidentiality obligations; or (c) you independently develop without use of Autonomy’s Confidential Information.
12.2 Obligations
You agree to protect Autonomy’s Confidential Information using reasonable care and not to use or disclose it except as necessary to use the Services as permitted under these Terms.
12.3 Compelled Disclosure
If you are required by law or court order to disclose Confidential Information, you will provide Autonomy reasonable advance notice (if legally permitted) and cooperate with efforts to limit disclosure.
13. Intellectual Property
All software, technology, algorithms, AI models, text, trademarks, logos, designs, and other materials made available as part of the Services (collectively, “Autonomy IP”) are owned by Autonomy or its licensors. The Services are licensed, not sold. Except as expressly permitted, no rights are granted to you in Autonomy IP.
14. Suspension and Termination
14.1 Termination by You
You may stop using the Services at any time. If account deletion is available, you may request it through the Services or by contacting info@autonomyfinance.ai.
14.2 Suspension or Termination by Autonomy
We may suspend or terminate your access to the Services (in whole or in part) at any time if: (a) you violate these Terms; (b) your use poses a security risk; (c) you attempt unauthorized access; (d) we are required to do so by law; or (e) continued operation could create legal or operational risk for Autonomy.
14.3 Effect of Termination
Upon termination, the license granted to you ends and you must stop using the Services. Data handling and retention are addressed in the Privacy Policy.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
AUTONOMY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE. AUTONOMY SPECIFICALLY DISCLAIMS WARRANTIES REGARDING THIRD-PARTY DATA, AI OUTPUTS, ALERTS, AGENT TASKS, AND ANY RESULTS OBTAINED THROUGH USE OF THE SERVICES.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTONOMY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, MISSED OPPORTUNITIES, TAX LIABILITIES, PENALTIES, OR FEES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AUTONOMY WILL NOT BE LIABLE FOR DAMAGES ARISING FROM OR RELATING TO AI OUTPUTS, AUTONOMY INTELLIGENCE, NEXT BEST ACTION, VITALS, AGENT TASK FAILURES, DELAYED OR MISSED ALERTS, THIRD-PARTY PROVIDER OUTAGES, DATA INACCURACIES, OR ACTIONS TAKEN BY AUTHORIZED COLLABORATORS.
IN NO EVENT WILL AUTONOMY’S TOTAL LIABILITY EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS (US $100) OR (B) THE AMOUNTS PAID BY YOU TO AUTONOMY FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF NO FEES HAVE BEEN PAID, AUTONOMY’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100).
Some jurisdictions do not allow certain limitations. To the extent prohibited, some of the above limitations may not apply.
17. Indemnification
You agree to defend, indemnify, and hold harmless Autonomy, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms or applicable law; (c) your content or information submitted to the Services; (d) your sharing of information with Authorized Collaborators; or (e) your reliance on outputs or actions taken based on the Services.
18. Dispute Resolution; Arbitration; Class Action Waiver
18.1 Informal Resolution
Before initiating arbitration or other proceedings, you agree to attempt to resolve disputes informally by contacting us at info@autonomyfinance.ai with a written description of the issue. We will attempt to resolve disputes in good faith.
18.2 Arbitration
Except for claims eligible for small claims court or claims seeking injunctive relief for misuse of Autonomy IP, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration. The arbitration will be conducted on an individual basis.
18.3 Class Action Waiver
YOU AND AUTONOMY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
19. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
20. Force Majeure
Autonomy will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, third-party service disruptions, or government actions.
21. Assignment
You may not assign these Terms without Autonomy’s prior written consent. Autonomy may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
22. Entire Agreement; Severability; Waiver; Interpretation
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Autonomy regarding the Services and supersede prior agreements or understandings. If any provision is held unenforceable, the remaining provisions remain in effect. Any waiver must be in writing. Headings are for convenience only, and “including” means “including without limitation.”
